Anti-Dilution Protections and Founder Vesting
Investors in later rounds often negotiate anti-dilution clauses protecting the value of their investment if future shares are issued at a lower price. The most common forms are broad-based weighted average and full ratchet, each with significantly different economic consequences for founders.
